These Terms & Conditions (“Terms”) apply when you use minutesmarketing.com (the “Website”) or hire Minutes Marketing for any of our services. By using the Website or engaging us, you agree to these Terms. If you do not agree, please do not use the Website or our services.
How we handle your personal information is explained separately in our Privacy Policy.
1. Who we are
Minutes Marketing is a digital marketing agency based in Delhi NCR, India, operated by [Legal entity name]. In these Terms, “Minutes Marketing”, “we”, “us” and “our” refer to us, and “you” or “Client” refers to the person or business using the Website or our services.
2. Using our website
You may use the Website for lawful purposes, such as learning about us, reading our content and contacting us. You must not:
- copy, reproduce, republish or sell any part of the Website without our written permission;
- try to gain unauthorised access to the Website, disrupt it, or introduce viruses or other harmful code;
- use bots, scrapers or other automated tools to collect content or data from the Website;
- submit false information or impersonate anyone through our contact forms.
The content on the Website, including our articles, is general information. It is not professional advice for your specific business, and we may change it at any time without notice.
3. Our services
We offer digital marketing services, including search engine optimisation (SEO), paid advertising, social media marketing, content and branding, and website and web application development.
The scope, deliverables, timelines and fees for each engagement are set out in a written proposal, quotation, statement of work or agreement (a “Proposal”). You accept a Proposal by signing it, confirming it by email or making the first payment. If a Proposal conflicts with these Terms, the Proposal applies to that engagement. Work outside the agreed scope is quoted and billed separately.
4. Your responsibilities
So that we can deliver the services, you agree to:
- give us accurate and complete information, and tell us when it changes;
- provide content, brand assets, feedback and approvals on time;
- give us the access we need to your website, hosting, analytics, ad accounts and social media pages, while keeping your own admin access to them;
- make sure you own, or have permission to use, any material you give us, such as logos, images, text and customer data;
- follow the policies of the platforms we use for you, such as Google, Meta and LinkedIn, and the laws that apply to your business, products and advertising claims.
If any of these are delayed, our timelines will move accordingly. We are not responsible for delays caused by missing information, content, access or approvals.
5. Fees and payment
- Fees are as stated in the Proposal. Unless the Proposal says otherwise, fees are in Indian Rupees and do not include GST or other applicable taxes, which are charged on top.
- Monthly retainers are billed in advance at the start of each billing month.
- Project work is billed as set out in the Proposal, usually as an advance before work begins, with the balance due at agreed milestones or on completion.
- Invoices are payable within 7 days of the invoice date unless the Proposal says otherwise.
- If a payment is overdue, we may pause work, campaigns or the handover of deliverables until it is paid, and agreed timelines will move accordingly.
- Third-party costs, such as domains, hosting, premium themes or plugins, stock images, software subscriptions and paid tools, are not included in our fees unless the Proposal says so.
6. Ad spend and third-party platforms
- Your advertising budget (“ad spend”) is separate from our fees. You pay ad spend directly to the platform, such as Google Ads or Meta, unless we agree in writing to pay it on your behalf. In that case, you pay us the ad spend in advance.
- Campaigns run on third-party platforms that have their own terms, policies and review processes. We do not control these platforms and are not responsible for ad rejections, account restrictions or suspensions, algorithm changes, outages, or changes they make to pricing or features.
- We cannot refund ad spend that has already been used on a platform. Any refund of unused balance held by a platform is subject to that platform’s own policies.
7. No guaranteed results
We work hard to deliver measurable growth, but marketing results depend on many factors outside our control, including search engine and social media algorithms, competition, market conditions, and your product, pricing, website and sales process. We therefore do not guarantee any specific rankings, traffic, leads, followers, sales or return on investment. Any projections we share are good-faith estimates, not promises.
8. Approvals and revisions
- Each Proposal states how many rounds of revisions are included. Extra revisions, or changes to a direction you have already approved, may be billed separately.
- When we send you a deliverable for review, please give us your feedback within 7 working days. If we do not hear from you in that time, the deliverable will be treated as approved so the project can keep moving.
- Once you approve content, creatives or a website for publishing, you are responsible for its accuracy and for any claims it makes about your business, products or services.
9. Cancellation, termination and refunds
This section is our cancellation and refund policy.
- Monthly retainers: either of us can end a retainer by giving 30 days’ written notice. Email is enough. Fees for the notice period are payable, and work continues during it unless we agree otherwise.
- Project work: if you cancel a project after work has started, you pay for the work completed up to the date of cancellation, plus any third-party costs already incurred. If your advance is more than that amount, we refund the difference within 15 working days.
- Non-refundable amounts: fees for work already done, and for a billing period that has already started, are not refundable. Third-party costs we have paid on your behalf, such as domains, hosting, licences, tools and ad spend, are not refundable by us.
- Ending services for cause: we may suspend or end the services immediately, by written notice, if invoices remain unpaid after they are due, if you seriously breach these Terms or a Proposal, or if you ask us to do anything unlawful or unethical.
- Handover: when an engagement ends, we will hand over the deliverables you have paid for and remove our access to your accounts.
The sections on fees, intellectual property, confidentiality, liability, indemnity and governing law continue to apply after an engagement ends.
10. Intellectual property
- Our Website: all content on the Website, including text, graphics, logos, design and code, belongs to Minutes Marketing or its licensors. You may not copy or reuse it without our written permission.
- Your deliverables: once you have paid everything due for an engagement, ownership of the final deliverables we created specifically for you, such as final designs, copy and website code, passes to you, unless the Proposal says otherwise.
- What we keep: we keep ownership of our own pre-existing tools, templates, frameworks, processes and know-how, and of drafts or concepts you did not choose. Where any of these form part of a deliverable, you may use them as part of that deliverable.
- Third-party materials: stock images, fonts, plugins, themes and software included in a deliverable are licensed under their owners’ terms, which you must follow.
- Your materials: you keep ownership of the content and assets you give us, and you allow us to use them to deliver the services.
- Portfolio: unless you ask us in writing not to, we may show the work we did for you, with your name and logo, in our portfolio, on our Website and in our marketing. We will never reveal your confidential information when we do.
11. Confidentiality
Each of us will keep confidential any non-public business, technical or financial information the other shares during an engagement, and will use it only for that engagement. This does not apply to information that is already public, that the receiving party already knew, that it lawfully receives from someone else, or that it must disclose by law. Personal data is handled as described in our Privacy Policy.
12. Third-party links and tools
The Website links to, and loads content from, third-party websites and services, including social media platforms and WhatsApp. We do not control them and are not responsible for their content, policies or practices. Their own terms apply when you use them.
13. Limitation of liability
- To the extent the law allows, we are not liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, data, goodwill or business opportunity.
- Our total liability for any claim connected with an engagement or with the Website is limited to the fees you paid us, in the 3 months before the claim arose, for the services the claim relates to.
- The Website is provided “as is”. We try to keep it accurate and available, but we do not promise that it will always be error-free or uninterrupted.
- Nothing in these Terms limits any liability that cannot be limited under applicable law.
14. Indemnity
You agree to compensate Minutes Marketing for any claims, losses and costs, including reasonable legal fees, that arise from the materials you give us, your products or services, the claims made in advertising or content you approve, your breach of these Terms, or your breach of any law or third-party rights.
15. Force majeure
Neither of us is responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, epidemics, government action, war, internet or power failures, or outages of third-party platforms. This does not cancel payment for work already done.
16. Governing law and disputes
These Terms are governed by the laws of India. If a dispute arises, we will both first try to settle it through good-faith discussion within 30 days of one of us raising it in writing. If it is not settled, the courts at New Delhi, India will have exclusive jurisdiction.
17. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Changes do not affect an engagement already agreed under a Proposal unless both of us agree to them.
